This website is intended for business and professional users. Paid work requires a separate agreement. These Terms include Florida governing law, binding individual arbitration in Tampa, Florida, and a class action waiver, subject to applicable law.
1. Scope and business use
These Website Terms and Conditions ("Terms") govern access to stravolabs.com (the "Site"), operated by Stravo LLC ("Stravo," "we," or "us"). Please read them before using the Site. They apply to the extent permitted by law and, where agreement is required, to the extent you validly agree to them. If you do not agree, discontinue use. You must be at least 18 to submit a business inquiry or act for an organization, and must have authority to act for that organization.
The Site is directed to businesses and professional users evaluating our systems, data, and AI services. It is not a consumer marketplace and does not offer consumer purchases or subscriptions. An inquiry does not purchase services, reserve availability, or establish a client relationship. Stravo has no obligation to begin services, provide production-system access, deliver work, or provide support until an authorized written customer agreement and any required statement of work are signed, except as an existing signed agreement expressly provides. Scope, fees, deliverables, confidentiality, data processing, and responsibilities for any engagement require a separate agreement. The applicable customer agreement, statement of work, data processing agreement, and other signed engagement documents control over conflicting website terms, website statements, proposals not incorporated into the agreement, and preliminary discussions. Website updates do not amend an existing customer agreement. Website statements and preliminary discussions do not amend an engagement or create a warranty; commitments must be included in an authorized written agreement. Nothing excludes liability for fraud or other liability that cannot lawfully be excluded.
2. Inquiries and information you submit
Provide accurate information you are authorized to share. Do not send health records, passwords, payment account details, government identifiers, trade secrets, or other sensitive information through public website forms or unsolicited email. We can arrange an appropriate channel if an agreed engagement requires it. Sending an inquiry does not by itself create an attorney-client relationship or a nondisclosure agreement; any separate confidentiality agreement remains effective.
You retain ownership of your submissions. You authorize us to use them only as needed to respond, evaluate the inquiry, and conduct the related business interaction, subject to our Privacy Policy and applicable law. Do not submit content that violates another person’s rights.
3. Service descriptions and professional advice
Website descriptions, diagrams, examples, and technology choices are illustrative. They do not promise a particular result, certification, performance level, security outcome, or regulatory approval. Affiliated-company experience is identified as such and does not mean that an affiliate’s customers are Stravo clients.
General website content is not legal, medical, investment, or other regulated professional advice. Technical assessments do not themselves certify compliance. Requirements for regulated data, production systems, and AI tools must be established for each engagement. Any future client portal or application may have separate access and service terms; public prototypes do not establish an operational service.
4. Permitted and prohibited use
You may view, link to, and share public pages for lawful informational and business purposes, with attribution where content is reproduced as permitted by law. Ordinary search engine indexing of public pages is permitted, subject to applicable law and published crawler instructions.
- Do not interfere with the Site, introduce malware, evade access controls, or attempt unauthorized access.
- Do not impersonate another person, send unlawful material, or infringe intellectual property, privacy, or other rights.
- Do not harvest personal information, conduct abusive automated collection, or overload the Site.
- Security testing requires prior written authorization, except as protected by applicable law.
We may restrict abusive access or suspend portions of the Site to address security, maintenance, or legal concerns. Nothing in these Terms prohibits conduct protected by law, lawful reporting to regulators, or good-faith exercise of statutory rights.
5. Ownership and third-party resources
Stravo or its licensors own the Site’s original content and design. No intellectual property ownership transfers to you. Access to this website does not grant rights to Stravo’s software, reusable components, tools, methods, or other intellectual property used in client work. Ownership and licenses for custom deliverables, client materials, and Stravo’s pre-existing or reusable technology must be specified in the customer agreement. Nothing here changes rights already granted by a signed agreement. Names and logos of other organizations belong to their respective owners. Their appearance does not imply an endorsement or relationship beyond what the Site expressly describes.
Third-party links, resources, and services have their own terms and privacy practices. We do not control their content or availability. A link does not remove any responsibility Stravo has under applicable law.
6. Privacy and electronic communications
Our Privacy Policy explains our information practices. Using the Site is not consent to optional cookies, marketing, or a waiver of privacy rights. Cookie choices are available through Cookie Preferences. Contacting us permits a response to that inquiry; it does not by itself enroll you in unrelated marketing. You may ask us to stop marketing emails at any time.
7. Website disclaimers
TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ITS GENERAL INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE ACCESS. THESE DISCLAIMERS DO NOT OVERRIDE EXPRESS OBLIGATIONS IN A SEPARATE AGREEMENT OR RIGHTS AND WARRANTIES THAT CANNOT LAWFULLY BE EXCLUDED.
8. Limits on liability and preserved rights
To the extent permitted by applicable law, Stravo is not liable for indirect, incidental, special, or consequential losses arising from use of this free informational Site, and aggregate liability for claims solely concerning the Site is limited to US$100. These limitations do not govern paid services under a separate agreement.
No disclaimer, liability limit, or other provision excludes or restricts liability for fraud, willful misconduct, gross negligence, or any liability that cannot lawfully be excluded or limited. Nothing waives nonwaivable consumer protections, privacy rights, remedies, public injunctive relief, or rights under applicable California, New York, federal, or other law. Where a limitation is prohibited, it applies only to the lawful extent. Disputes are subject to the arbitration and class action provisions in Section 9 when you validly agree to them.
9. Florida law, binding arbitration, and class action waiver
PLEASE READ THIS SECTION CAREFULLY. WHEN YOU AGREE TO THESE TERMS, YOU AND STRAVO AGREE TO RESOLVE COVERED DISPUTES THROUGH INDIVIDUAL BINDING ARBITRATION INSTEAD OF A COURT TRIAL, AND WAIVE CLASS ACTIONS TO THE EXTENT PERMITTED BY LAW.
Florida governing law
Florida substantive law governs these Terms and disputes arising from the Site, without its conflict-of-laws rules, except where mandatory law requires otherwise. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. Where that Act does not apply, the Florida Arbitration Code applies to the extent permitted by law. This section does not displace nonwaivable protections available under applicable law.
Notice and opportunity to resolve a dispute
Before starting arbitration, the claimant must send written notice describing the dispute, relevant facts, requested relief, and contact details. Send notices to Stravo LLC, Attn: Legal, 400 N. Tampa St., Suite 1550, Tampa, FL 33602, with a copy to [email protected]. Stravo will send notice to contact details you have provided. The parties will attempt in good faith to resolve the dispute for 30 days after receipt. During that period, applicable limitation periods are tolled to the extent permitted by law. This process does not prevent a timely filing needed to preserve a claim or urgent relief permitted below.
Individual arbitration in Tampa, Florida
Except for the exclusions below, you and Stravo agree that disputes arising out of or relating to these Terms, the Site, website communications, or website data practices will be resolved by binding arbitration administered by the American Arbitration Association (AAA) before one neutral arbitrator under its Commercial Arbitration Rules. The legal seat and hearing location will be Tampa, Hillsborough County, Florida. The parties may agree to remote or documents-only proceedings, and the arbitrator may permit remote participation under applicable rules. Proceedings will be in English.
The arbitrator may award relief available for an individual claim under applicable law, subject to lawful contractual limitations, and must issue a reasoned written award. Fees and costs are allocated under the applicable AAA rules and law. Each party bears its own attorneys’ fees unless a statute or separate enforceable agreement permits an award. If a dispute is legally subject to AAA Consumer Arbitration Rules, those rules, required fee protections, and mandatory venue protections control over inconsistent provisions here. Calling a transaction business-to-business does not eliminate protections that legally apply.
A court decides whether an agreement to arbitrate was formed and any challenge directed specifically to this arbitration agreement or the class action waiver. Otherwise, the arbitrator decides matters assigned to the arbitrator under applicable law. Judgment on an award may be entered in a court with jurisdiction. If AAA cannot administer a covered dispute for reasons other than a party’s failure to satisfy required obligations, the parties will seek a substitute neutral administrator by agreement or through a court under applicable law; no party may use this provision to avoid required fees or consumer protections.
Class action and jury trial waiver
TO THE EXTENT PERMITTED BY LAW, YOU AND STRAVO MAY BRING COVERED CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONDUCT CLASS ARBITRATION OR COMBINE DIFFERENT PERSONS’ CLAIMS WITHOUT THE WRITTEN AGREEMENT OF ALL AFFECTED PARTIES. YOU AND STRAVO WAIVE A JURY TRIAL FOR CLAIMS VALIDLY SUBJECT TO ARBITRATION.
Exceptions and nonwaivable rights
Either party may bring an eligible individual claim in small claims court, seek temporary court relief needed to preserve the status quo or protect intellectual property or confidential information pending arbitration, or seek to compel arbitration or enforce or challenge an award as law permits. Claims that applicable law makes nonarbitrable, regulator complaints or enforcement, and nonwaivable public injunctive relief are not restricted. This agreement does not limit legally protected reporting to government agencies.
For court proceedings permitted by this section, the parties agree to exclusive jurisdiction and venue in state courts in Hillsborough County, Florida, or the federal courts serving that county, except where mandatory law requires another forum. If the class action waiver is unenforceable as to a particular claim or remedy, that claim or remedy proceeds in court rather than class arbitration; the rest of this agreement remains effective to the extent lawful. Nothing retroactively binds a person who did not agree to these Terms. A signed client agreement controls over conflicting website dispute provisions.
10. Changes and general provisions
We may revise these Terms prospectively by publishing an updated version and date. Material changes will receive additional notice or assent where required. Changes to arbitration or the class action waiver apply only upon valid agreement and will not alter a dispute of which either party already had notice without that party’s express agreement. Revisions do not retroactively alter accrued claims or rights. These Terms apply only to the Site; they do not replace signed services, confidentiality, or data processing agreements. Posting revised website terms or a privacy notice cannot change a signed customer agreement’s scope, fees, intellectual property rights, service commitments, or data processing obligations. Any amendment must follow that agreement’s amendment procedure.
If a provision is unenforceable, it is limited or severed to the extent necessary and the remaining provisions continue where lawful. A failure to enforce a provision is not a waiver. For a business user that agrees to these Terms, the business will indemnify Stravo against third-party claims and reasonable costs to the extent caused by its unlawful use of the Site, infringement in material it submits, or lack of authority to submit that material. This obligation excludes loss caused by Stravo’s fraud, willful misconduct, gross negligence, or other conduct for which indemnity is prohibited. Stravo will give prompt notice, reasonably cooperate, and not settle a claim imposing an admission or nonmonetary obligation on the business without consent. No indemnity applies to a person’s exercise of a legal right.
